1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of the services provided by Trilight Security OÜ (Registration Number: 16028236), a company registered in Estonia with its registered office at Harju maakond, Tallinn, Kesklinna linnaosa, Vesivärava tn 50-201, 10152 ("Company," "we," "us," or "our").

By accessing our website, engaging our services, or entering into any agreement with us, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Description

Trilight Security OÜ provides data processing and management services, including but not limited to:

• Data processing and transformation services
• Data management and storage solutions
• Data mediation and transfer services
• Compliance support and consulting
• Related data processing activities

All services are provided with a particular focus on businesses operating in or conducting business with Azerbaijan.

3. Service Agreement and Scope

3.1 Contract Formation

A binding service agreement is formed when:

• You submit a signed service agreement or statement of work
• We provide written acceptance of your service request
• You make payment for agreed services
• We commence service delivery with your knowledge and consent

3.2 Scope of Work

The specific scope of services will be defined in individual service agreements or statements of work. All services are subject to these Terms unless explicitly modified in writing.

4. Client Obligations and Responsibilities

4.1 Data Provision

You are responsible for:

• Providing accurate and complete data and information
• Ensuring you have the legal right to process and transfer the data
• Obtaining necessary consents for data processing
• Complying with applicable data protection regulations

4.2 Cooperation

You agree to:

• Provide timely access to necessary resources and personnel
• Respond promptly to our reasonable requests for information
• Participate actively in project planning and review processes
• Provide feedback and approvals in a timely manner

5. Payment Terms

5.1 Fees and Pricing

Service fees are specified in individual service agreements. Unless otherwise agreed:

• Fees are quoted in Euros (EUR) and exclude applicable taxes
• Payment is due within 30 days of invoice date
• Late payment may incur interest charges at the rate of 1% per month

5.2 Expenses

Unless included in the agreed fee, reasonable expenses incurred in service delivery will be charged separately with prior approval.

6. Intellectual Property

6.1 Client Data and Materials

You retain all rights, title, and interest in your data and materials. We will not claim ownership of your data or use it beyond the scope necessary to provide services.

6.2 Deliverables

Subject to full payment, you will own the rights to deliverables specifically created for you, excluding our pre-existing intellectual property and methodologies.

6.3 Company Intellectual Property

We retain all rights to our methodologies, tools, processes, and pre-existing intellectual property used in service delivery.

7. Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to:

• Maintain strict confidentiality of all client information
• Use information only for the purpose of providing services
• Implement appropriate security measures to protect information
• Return or destroy confidential information upon request

8. Data Protection and Privacy

We are committed to protecting your data and privacy in accordance with:

• European Union General Data Protection Regulation (GDPR)
• Estonian data protection laws
• Applicable Azerbaijan data protection requirements
• Our Privacy Policy

Where we process personal data on your behalf, we will act as a data processor and enter into appropriate data processing agreements.

9. Limitation of Liability

9.1 Liability Cap

To the maximum extent permitted by law, our total liability for all claims arising from or relating to our services shall not exceed the total fees paid by you for the specific services giving rise to the claim.

9.2 Excluded Damages

We shall not be liable for:

• Indirect, consequential, or punitive damages
• Loss of profits, revenue, or business opportunities
• Loss of data not caused by our negligence
• Third-party claims or actions

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards.

10.2 Disclaimers

Except as expressly stated, all services are provided "as is" without warranties of any kind, express or implied.

11. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or technical failures.

12. Termination

12.1 Termination for Convenience

Either party may terminate services with 30 days' written notice. You will be responsible for payment of services performed up to the termination date.

12.2 Termination for Cause

Either party may terminate immediately upon:

• Material breach of these Terms that remains uncured after 15 days' written notice
• Insolvency or bankruptcy of the other party
• Any act that materially damages the other party's reputation or business

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Estonian courts.

14. Amendments and Modifications

We may update these Terms from time to time. Material changes will be communicated to existing clients with reasonable notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any signed service agreements and statements of work, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
